Welcome to ORHub. These Terms of Service ("Terms") govern your access to and use of the ORHub platform, including our website, mobile applications, SMS services, and related services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Service Provider

ORHub is operated by TailwindX, LLC, a Delaware limited liability company ("TailwindX," "we," "our," or "us").

ORHub is a healthcare coordination platform designed for surgical facilities, including ambulatory surgery centers (ASCs) and hospitals. The Service provides:

You must be at least 18 years old and authorized to use the Service on behalf of your healthcare facility. By using the Service, you represent and warrant that you meet these requirements.

5. SMS Terms and Conditions

SMS Messaging Service

ORHub uses SMS text messaging as a core coordination mechanism. By providing your mobile phone number, you consent to receive text messages from ORHub.

Message Types: You may receive the following types of messages:

  • Surgical case updates and notifications
  • Operating room status changes
  • Schedule changes and alerts
  • Team coordination messages
  • Urgent operational notifications
  • System alerts and service announcements

Message Frequency: Message frequency varies based on your facility's surgical schedule and operational needs. You may receive multiple messages per day during active surgical operations.

Message and Data Rates: Standard message and data rates from your mobile carrier may apply. Please contact your mobile carrier for details about your specific plan.

Opt-Out: You can opt out of SMS messages at any time by:

  • Replying STOP to any message
  • Contacting your facility administrator
  • Updating your preferences in the ORHub dashboard
  • Emailing us at support@orhub.io

Help: For assistance with SMS messages, reply HELP to any message or contact support@orhub.io.

Supported Carriers: Messages are supported by major US carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carrier coverage and message delivery are not guaranteed.

No Emergency Use: Do not use SMS messaging for medical emergencies. Call 911 or your facility's emergency protocols for urgent medical situations.

6. Healthcare Privacy and HIPAA

ORHub is designed to comply with the Health Insurance Portability and Accountability Act (HIPAA) and its implementing regulations. We design our products with healthcare privacy in mind.

Business Associate Relationship: When you use ORHub, TailwindX acts as a Business Associate to your healthcare facility (the "Covered Entity"). A separate Business Associate Agreement (BAA) will be executed with your facility.

PHI Handling: You acknowledge that the Service may involve the transmission and storage of Protected Health Information (PHI). You are responsible for ensuring your use of the Service complies with applicable healthcare privacy laws.

Staff Responsibilities: Your staff must follow your facility's policies regarding PHI disclosure and patient privacy when using the Service.

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

8. Intellectual Property

The Service and its content, features, and functionality are owned by TailwindX and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your facility's internal business purposes.

9. Data Ownership

You retain all rights to the data you input into the Service. TailwindX does not claim ownership of your facility's data, case information, or PHI. We process your data solely to provide the Service and as described in our Privacy Policy.

10. Service Availability

We strive to provide reliable service, but we do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. We may suspend or terminate the Service for maintenance, updates, or other reasons.

No Medical Reliance: The Service is a coordination tool and should not be relied upon as the sole method for critical medical communications. Maintain backup communication protocols.

11. Fees and Payment

Access to the Service may require payment of fees. Fees are specified in your facility's service agreement with TailwindX. You agree to pay all fees according to the terms of your agreement.

We may suspend or terminate your access to the Service at any time for:

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAILWINDX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality.

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes your acceptance of the new Terms.

18. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any service agreement with your facility, constitute the entire agreement between you and TailwindX regarding the Service.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver: No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
